Parts Pricing and Payment

Legal Effect of these Terms

These terms and conditions form an integral part of any Sale based on Internet Pricing. Any contract made by and between the parties must incorporate these terms and conditions. Terms inconsistent with those stated herein which appear on PURCHASER’S Purchase Order shall not be binding on SELLER. Any resulting Purchase Order is subject to acceptance by SELLER and shall constitute a binding agreement between PURCHASER and SELLER only when thereafter approved and signed by an authorized officer of SELLER.

Prices

Internet prices exclude taxes, duties, import fees and shipping costs. Price, title and risk of loss FOB our warehouse.  All prices are in US dollars.

All prices are based on Payment in Advance using an accepted form of payment. Depending on the transaction size, some payment options may not be available.

Standard Discount Schedule - Parts Purchases

BuBuyer may apply discounts based on Net Order Amount if not already applied via a price quotation. Net order amount excludes special handling, taxes, freight, crating, duties and other fees.  Unless already applied in a quotation, the following volume discounts may apply to our already low factory-direct internet pricing.

Payment Terms

Depending on the transaction size, payment methods accepted include Check, Visa, MasterCard, Discover and American Express credit cards, Wire Transfer and PayPal. 

Buyer and Seller each pays any bank fees assesed by its own bank or financial institution. If wire transfer is used, Buyer must wire the full invoice amount and pay its own bank transfer fees.  Payment by check may delay shipment of your order.

Standard Parts

All payments are due in advance unless other arrangements have been approved in advance in writing.

PLC, Fabricated Components and Special Orders

Programmable logic controller (PLC), fabricated components such as chamber, baffle and water cooling sections require payment in advance or, with approval, fifty percent (50%) upon receipt of order as authorization to proceed, and the balance upon shipment.

*Payment Amount is total amount due per each payment (regardless of discounts, taxes, duties, shipping, or  other fees).

Shipping

Unless otherwise agreed in writing by SELLER, all shiping charges, freight and or speciall handling costs shall be borne by BUYER. If you prefer, we will ship on your account using your preferred shipping method. If shipment appears damaged, return authorization is required. Please contact our office for RMA.

Other Terms

Warranty

SELLER’S warrants all electrical and mechanical components to be free from defects in materials and workmanship for sixty (60) days after shipment. If the equipment fails to conform to any of the above warranties, SELLER shall at its option repair or replace any component which is defective. This warranty does not cover field service nor does it apply to damage caused by ordinary wear and tear, corrosion, misuse, or faulty repair, or installation labor. In no event shall SELLER'S liability hereunder exceed the cost of fixing or replacing the parts which are the subject of the warranty, and upon expiration of the applicable period shall end. SELLER’S WARRANTY WILL BE STRICTLY LIMITED TO THE PERFORMANCE SET FORTH HEREIN. THERE ARE NO OTHER WARRANTIES, EXPRESS, STATUTORY OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY AND OF FITNESS FOR PARTICULAR PURPOSE, NOR ANY AFFIRMATION OF FACT NOR REPRESENTATION WHICH EXTENDS BEYOND THE DESCRIPTION OF THE FACE HEREOF.

Indemnification

BUYER shall be liable for and hereby agrees to indemnify and hold SELLER, its officers, directors, agents and employees harmless from and against all liabilities, claims, damages, losses, costs and expenses (including reasonable attorney and court expenses) for all injuries or death of any person, damage to any property resulting from or caused by, directly or indirectly, BUYER’s negligent or improper installation, operation or maintenance of any components purchased hereunder.

Limit of Liability

IN NO EVENT SHALL SELLER BE LIABLE IN CONTRACT, WARRANTY, TORT OR OTHERWISE FOR ANY CONSEQUENTIAL, SPECIAL, EXEMPLARY OR INCIDENTAL DAMAGES NOR FOR ANY LOSS OF PRODUCTION OR OTHER LOSSES. The aggregate amount of SELLER’S liability to BUYER on any and all claims for loss or liability, whether based upon warranty, negligence, or otherwise, shall in no case exceed the amount paid by BUYER to SELLER. BUYER'S EXCLUSIVE REMEDY IS ENFORCING THE REPLACEMENT RIGHTS HEREIN.
